NO ENTRY FEE. NO PURCHASE OR OBLIGATION NECESSARY TO PLAY OR WIN. NO PURCHASE, ORDER OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE, ORDER OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. THE FOLLOWING SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF THE UNITED STATES), WHO MEET THE ELIGIBILITY REQUIREMENTS (AS DEFINED BY THE RULES BELOW). VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW.

How to Enter:
(a) Online Free Entry: Beginning on May 13 at 5:00am PT through May 23 at 11:59pm PT (“Entry Period), log on to www.quay.com/pages/sza-sweeps and follow the on-screen entry instructions. Fill in all the required information then click the “Submit” button. By clicking “Submit”, each entrant (“Participant”) will receive one (1) entry into the Sweepstakes (an “Entry”). As part of the entry process, Participants will be required to indicate that they have read, accept, and agree to be bound by these Official Rules. Only fully completed Entries submitted as noted above are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor. You may enter only once. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the person in whose name the e-mail account governing the e-mail address was opened to create the associated the associated email address. Any effort by a Participant to misrepresent themselves through the use of aliases or multiple e-mail addresses will disqualify all entries of such individual. Sponsor and its agents reserve the right to verify eligibility qualifications of any winner. Failure to comply with these Official Rules as determined in the sole discretion of Sponsor may result in disqualification from the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. Participants must provide all information requested to be eligible to win. Incomplete, unreadable, or unintelligible entries will be disqualified. All entries must be received by May 23nd 11:59pm PT. All information provided by Participants becomes the property of Sponsor. If you choose to participate using your mobile phone, standard data fees may apply. (b) Enter without Online Entry: To enter by mail without obligation, hand print your name, address, day and evening phone numbers, valid email address, and date of birth on a 3" x 5" piece of paper and mail it in an envelope with proper postage to 465 California St. 14th Floor San Francisco CA 94104.all mail-in entries must be handwritten and must be postmarked by the last day of the Entry Period and. All entries become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified.
Eligibility
The Sweepstakes is open to legal residents of the U.S. age 18 or older, who have an active e-mail account and Internet access as of the beginning of the Promotion Period. Employees of Sponsor, C3 Presents, LLC and their respective parent companies, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies (“Promotion Parties)”, their immediate family members and persons living in their same household, are not eligible to participate in the promotion. Participation in the promotion constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules & Regulations ("Official Rules"). VOID WHERE PROHIBITED.
Random Drawing
On or around May 24, 2024Sponsor will randomly select five (5) winners from among all eligible entries received during the Entry Period from among all eligible entries received. Odds of winning a prize depend on the number of eligible entries received. Potential winners will be notified by email and must sign and return any required Affidavit of Eligibility and Release via email, within 3 days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this sweepstakes, Participant accepts and agrees to these Official Rules and the decisions of the Administrator, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Promotion Parties to use winners ( name/ and] likeness, and biographical information) for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply
Prizes and Odds: The odds of winning a prize depend on the total number of eligible entries received. Five (5) grand prizes to be awarded from the promotion are as follows:
- Five (5) winners will two (2) 1-Day VIP Ticket to the Governors Ball® Music Festival (“Festival”) to be held at Flushing Meadows Corona Park, New York, NY for use on the scheduled concert date of Sunday, June 9, 2024. Approximate Retail Value (“ARV”) of each ticket is $399 and each prize has an ARV of $799.000 AIRFARE, LODGING & OTHER TRAVEL EXPENSES ARE NOT INCLUDED.
ARV is as of date of printing of these Official Rules. The difference in value of prize as stated herein and value at time of prize notification, if any, will not be awarded. Limit: one (1) prize per person. Prizes are non-transferable and no cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value.
Prize Restrictions
Prize winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether it, in whole or in part, is used. The prize may not be sold, bartered, or exchanged by the winners. Prize does not include any travel or accommodation expenses related to attending the Festival. Prize winners will be solely responsible for covering all costs associated with their attendance. Sponsor is not responsible and will not be liable if Winners and/or their guest is for any reason not permitted to travel to the Festival or if they miss their flight or any other travel arrangements. Winners must ensure their own ability to travel to the Festival and manage their travel plans accordingly. Prizes must be accepted as awarded.
The prize will be forfeited if: (1) the winner is not available to attend on the date specified by the Sponsor or (2) proper identification is not obtained by the winner by the date specified by the Sponsor (3) Winners must be present at address listed in their entry to receive tickets by express courier.
Sponsor shall not be liable for any failure to deliver prizes to the Winners if the Winners are not present at the delivery address provided in their entry at the time of delivery. It is the sole responsibility of Winners to be available to receive the Prize via express courier. Winners must comply with all venue and Festival policies, including, but not limited to, presenting a valid photo ID at the venue for age verification and/or identification purposes, as required. Any unclaimed and/or unused prize element will remain the property of Sponsor. Resale of Festival tickets is prohibited. Sponsor and Released Parties are not responsible for lost or stolen tickets, or tickets not redeemed/used on the specified date. Lost, stolen, or expired tickets will not be replaced.
By claiming Festival tickets, agree to abide by the health and safety measures in effect at the time of the event, which may include, but not be limited to, wearing masks, providing proof of vaccination status and/or providing proof of negative COVID-19 status. No prize substitutions, cash equivalent, or transfer of prizes permitted except as required by law or at the sole discretion of Sponsor. Winners acknowledge that the Festival promoters reserve the right to remove or to deny entry to any winner and/or the winner's guest who engages in a disorderly or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person at the event. Winners agree to abide by the terms and conditions of the ticket. Should they fail to comply with these terms, the Festival promoters have the authority to enforce these conditions as deemed appropriate, including the right to terminate attendance early. The Sponsor is not responsible for the early termination of attendance and will not provide any compensation in such instances.
All other expenses not specifically mentioned herein are solely the winner’s responsibility. Any prize is provided "as is'' and without any warranty of any kind. Each winner hereby acknowledges that Sponsor and its affiliates have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize or component thereof, including any express or implied warranties provided by any of the prize providers associated with this Sweepstakes. At the Sponsor's sole discretion, the prize may vary from what has been advertised or pictured. All details of the prize not specified herein shall be determined solely by the Sponsor. By accepting the prize, each winner acknowledges the sufficiency of the prize is awarded.
Notification of Winners:
Winners will be notified by e-mail within 3 (three) days of the prize drawing and may be required to sign and return an affidavit of eligibility and publicity /liability release to be signed within three (3) days of notification. If a selected Winner cannot be contacted, is ineligible, fails to claim a prize and/or where applicable an affidavit of eligibility and publicity /liability release is not timely received, is incomplete or modified, prize may be forfeited and an alternate Winner will be selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the authorized account holder of the e-mail account specified in the entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. No automatically generated entries will be accepted.
Privacy Policy
Any personal information supplied by you to Quay will be subject to QUAY s privacy policy posted at https://www.quayaustralia.com/pages/privacy-policy QUAY will not sell, rent, transfer or otherwise disclose your personal data to any third party other than the corresponding Sponsor whose offers you failed to opt-out. Additionally, by entering the promotion/contest you understand that QUAY may send you additional commercial marketing email regarding QUAY and its partners.
General Rules
By entering, you agree to be bound by these Official Rules, including the eligibility requirements set forth herein and to accept the decisions of Sponsor, as final and binding as it relates to the Sweepstakes. The promotion is offered by Sponsor, QUAY 465 California St, 14th FL San Francisco, CA 94104which is not responsible for late, lost, delayed, damaged, incomplete, illegible, or misdirected entries, responses, or other correspondence, whether by e-mail or postal mail or otherwise, or for theft or destruction or unauthorized access or alterations of entry materials, phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties. By participating and winning a prize, Winner releases Sponsor, SZA, Top Dawg Entertainment LLC (“TDE”), C3 Presents, LLC, and their respective parent, affiliates, subsidiaries, directors, officers, employees, sponsors, and agents, including advertising and promotion agencies (“Released Parties”), from any and all liability with respect to the promotion/contest or the acceptance, possession or use of any prize, including without limitation (i) any condition caused by events beyond Sponsor’s control that may cause the promotion/contest to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, in preparation for, or use of the prize, or from participation in the [FESTIVAL SWEEPSTAKES] (iii) any claims or causes of action based on publicity rights, defamation or invasion of privacy and (iv) any printing or typographical errors in any materials associated with the promotion/contest. Sponsor’s decisions in all respects relative to the promotion are final. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the promotion in whole or in part, in the event of fraud, technical or other difficulties or if the integrity of the promotion is compromised, without liability to the Participant including but not limited to, any event associated with this Sweepstakes or the Prize is delayed, rescheduled, postponed or cancelled. Sponsors shall not be required to award a substitute prize. Sponsor reserves the right to disqualify any winner, as determined by Sponsor in its sole discretion. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The winner is responsible for paying any income taxes on the value of the prize received. Void where prohibited or restricted by law. All federal, state, provincial and local regulations apply.
Arbitration
Specifically, each Participant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to be held in San Francisco, California, pursuant to the Rules of JAMS. The remedy for any claim shall be limited to actual damages, and in no event shall any party be entitled to recover punitive, exemplary, consequential, or incidental damages, including attorney’s fees or other such related costs of bringing a claim, nor shall the Participant be permitted to obtain injunctive or other equitable relief. This release does not extend to claims for gross negligence, intentional misconduct by the Sponsor or their agents, or any other liabilities that California law does not allow to be excluded by agreement. This agreement to arbitrate will be governed by the Federal Arbitration Act and interpreted in accordance with the laws of the State of California without regard to its conflict of laws principles.If any part of this arbitration provision is deemed to be invalid, unenforceable, or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion prohibiting class arbitration is found to be invalid, unenforceable, or illegal, then the entirety of this release and arbitration provision shall be null and void. Each Participant hereby irrevocably submits to personal jurisdiction in Alameda County, California and irrevocably waives any objection or claim that San Francisco, CA, United States is an inconvenient forum. BY AGREEING TO THE ARBITRATION OF DISPUTES AS OUTLINED IN THESE RULES, YOU ACKNOWLEDGE THAT YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND LIMITING YOUR RIGHT TO APPEAL. YOU ALSO UNDERSTAND THAT YOU ARE FORFEITING YOUR RIGHTS TO PURSUE OTHER RESOLUTION PROCESSES, SUCH AS A COURT ACTION. ANY CLAIMS, JUDGMENTS, AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. PLEASE DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO THE BINDING ARBITRATION PROVISIONS STATED HEREIN.
Additional Conditions
Except where prohibited by law, by accepting any prize, Winner consents to the use of his/her name, photo and/or likeness, biographical information, winning entry and statements attributed to winner (if true) for advertising and promotional purposes without additional compensation. All entries become property of Sponsor and none will be acknowledged or returned.

Governing Law: This Sweepstakes and its Official Rules are governed by US law and are subject to all applicable federal, state and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes Official Rules, or the rights and obligations of entrants and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California U.S.A.
Trademarks: SZA, TDE, and C3 Presents, LLC Governors Ball® Music Festival are not Sponsors of the Sweepstakes and are in no way responsible for the administration of the Sweepstakes, the verification of winners or the fulfillment of prizing. All inquiries regarding the Sweepstakes should be directed to Sponsor. The Governors Ball® is a registered trademark of Founders Entertainment, LLC.
Severability: If any provision of the Official Rules is found to be unenforceable or unlawful for any reason, (1) the unenforceable or unlawful provision will be severed from these Official Rules, (2) the remainder of the Official Rules will be given full force and effect, and (3) severance of the unenforceable or unlawful provision will have no impact on the remainder of the Official Rules.
